OVERVIEW
This 15 unit course covers the law, meaning and use of the main Legal English words and phrases needed by lawyers working in the field of commercial corporate law and other business structures.
The course includes both legal background and practical instruction on how to form companies, issue shares and capitalisation, the duties and powers of directors and how companies are governed and make decisions.
Taught by Sofia Parastatidou, practising solicitor and author of Legal English textbooks. She is also an experienced trainer of the Solicitors’ Qualification Exam (former QLTS).

COURSE CONTENTS
- The History and Development of English Corporate Law and Partnership Law
- Types of business structures and business vehicles – limited private and public companies, partnerships and Limited Liability Partnerships
- Incorporation – Capitalisation, initial public offering, types of shares and associated rights
- Corporate governance – director’s duties, shareholder power and rights, secretaries and day to day regulatory matters
- One tier and two tier supervisory board structures, duties and powers
- Company restructuring – increasing and decreasing share capital, mergers and acquisitions
- Company restructuring – demerger, spin offs and spilt offs
- EU company law and policy – policy, conflict of laws in international trade, and anti -monopoly legislation
- Law of Agency, estoppel and how directors and officers can bind companies
- Raising corporate finance- debentures, loans, mortgages, fixed and floating charges, crystalization of charges
- Practical examples, documentation, involved in setting up a company, preparing corporate documents, borrowing money, registering charges
- Learn the difference between public and private companies and the protection of minority shareholders
- Practical steps and documentation involved in filing documents at Companies House, issuing shares, hold board meetings, and shareholder meetings.
- White collar crimes, company fraud, statutory requirements on company officers and their duties under the Companies Act 2006
- Winding up and compulsory winding up, division of assets on closure of the business.
